Resumen

Mediante el presente artículo de investigación se establecerán las bases jurídicas para determinar si el bitcóin puede aportarse válidamente al contrato de sociedad y en caso afirmativo, indagar al respecto de si este criptoactivo ingresa como aporte de capital, industria o especie. Por lo anterior, en la primera parte del artículo se determinará la naturaleza jurídica del bitcóin teniendo en cuenta las características técnicas y aspectos tecnológicos del criptoactivo y de este modo, verificar si es procedente su asimilación como mensaje de datos y bien intangible. En una segunda parte se indagará acerca de la compatibilidad de la naturaleza jurídica del criptoactivo, respecto de los tipos de aportes que la ley mercantil permite realizar en el contrato de sociedad. Se finalizará con unas conclusiones.

Abstract

Through this research article it is intended to establish the legal bases to determine if Bitcoin can be validly contributed to the partnership contract and, if so, inquire about whether this cryptoactive enters as a contribution of capital, industry or species. Therefore, in the first part of the article, the legal nature of Bitcoin will be determined, taking into account the technical characteristics and technological aspects of the cryptoasset, and thus verify whether its assimilation as a data message and intangible asset is appropriate. In a second part, it will inquire about the compatibility of the legal nature of the cryptoactive with respect to the types of contributions that the commercial law allows to make in the partnership contract. It will end with some conclusions.
